Welcome to Azeno. These Terms & Conditions ("Terms") govern your use of our website and services, including custom software design, web & mobile app building, robotic process automation (RPA), and IT consulting services.

1. Services & Deliverables

We agree to perform services and deliver software artifacts as defined in a mutually agreed Statement of Work (SOW). Any changes to the scope of work must be processed via a written Change Order signed by both parties.

2. Acceptance & Deemed Acceptance

Upon delivery of any software component or milestone, the Client will have a review period of ten (10) business days to test and accept the deliverables. If no written notice of deficiencies is received within this period, the deliverables shall be deemed accepted.

3. Intellectual Property (IP) Rights

Upon receipt of full payment of all related invoices, the ownership of custom deliverables (custom code, layouts, and assets developed specifically for the Client) will transfer to the Client. Azeno retains all ownership rights, title, and interest in pre-existing IP, base code, reusable components, templates, and the core CMS framework. Azeno grants the Client a non-exclusive, perpetual, worldwide, royalty-free license to use pre-existing IP integrated into the deliverables.

4. Payment Terms & Fees

Payments are milestone-based or hourly, billed according to the SOW. All invoices are payable within fourteen (14) days. Overdue balances are subject to a late fee of 1.5% per month. Azeno reserves the right to suspend development and withhold deliverables if invoice payments are overdue.

5. Limitation of Liability

Azeno's total liability under any contract is limited to the actual amount paid by the Client to Azeno for the specific services giving rise to the claim. We disclaim all liability for indirect, incidental, special, or consequential damages, including loss of profits or data.

6. Confidentiality

Both parties agree to protect the other party's confidential information, including trade secrets, proprietary business processes (such as workflows automated via RPA), and source code, with a high degree of care.

7. Independent Contractor

Our relationship is that of an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

8. Governing Law & Jurisdiction

These Terms and all disputes arising from them are governed by the laws of Romania, under EU regulations. Any legal action must be brought in the competent courts of Bucharest, Romania.
